1. Acceptance of Terms

By accessing or using assay.tools (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Assay provides agent-readiness ratings, security scores, and reliability scores for software packages including MCP servers, APIs, and SDKs. The Service includes a public directory, REST API, MCP server, and paid evaluation reports.

3. Scores Are Editorial Opinions

All scores, ratings, and evaluations published by Assay are editorial opinions based on our evaluation methodology applied to publicly available information. They are not statements of fact, certifications, endorsements, or guarantees of any kind.

A high score does not guarantee that a package is secure, reliable, or fit for any particular purpose. A low score does not imply that a package is defective, unsuitable, or unsafe. Users should perform their own due diligence before adopting any software.

4. No Reliance

You acknowledge that Assay scores should not be your sole basis for making software adoption decisions. The scores are one data point among many and should be considered alongside your own testing, security audits, and evaluation.

5. API Usage

The Assay API is provided for programmatic access to package scores and metadata. By using the API, you agree to:

  • Respect published rate limits
  • Not attempt to circumvent rate limiting or access controls
  • Not scrape or bulk-download data beyond normal API usage
  • Not misrepresent Assay scores or present them out of context
  • Include attribution when displaying Assay scores publicly

6. Paid Services

Certain features (evaluation reports, monitoring subscriptions) require payment via Stripe. All prices are in USD. By purchasing, you agree to pay the specified amount and authorize Stripe to process the payment.

7. Refund Policy

Evaluation reports: Full refund within 14 days of purchase if you are not satisfied with the report quality.

Monitoring subscriptions: Cancel anytime. Access continues until the end of the current billing period. No partial refunds for unused time within a billing cycle.

8. Intellectual Property

All content on assay.tools, including scores, reports, methodology descriptions, and website design, is owned by Assay. You may reference individual scores with attribution but may not reproduce substantial portions of the database.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSAY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO ASSAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL ASSAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. Material changes will be announced on the website.
